Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website aiquest.one, AIQuest collection solutions (AQS suite), quest packages, and professional services offered by AIQuest Pte. Ltd. (UEN 201847291B), registered at 391 Orchard Road, #12-08, Singapore 238872.
By accessing our website, submitting an enquiry, or entering a commercial agreement, you agree to these Terms. If you do not agree, do not use our services.
1. Definitions
- Client means the individual or entity subscribing to or purchasing services.
- Collection means AIQuest hosted or licensed AQS software solutions and related APIs.
- Services means discovery workshops, POC sprints, pilot programmes, roadmap development, change management, and related professional offerings.
- Order Form means a signed quote, statement of work, or purchase order specifying fees and scope.
2. Website use
You may use our website for lawful purposes only. You must not attempt unauthorised access, introduce malware, scrape content at scale without permission, or misrepresent your affiliation with AIQuest. Content on the website is protected by copyright and may not be reproduced without written consent.
3. Enquiries and proposals
Submitting the contact form does not create a binding contract. We may decline projects at our discretion. Statements of work, master services agreements, or purchase orders signed by both parties supersede website descriptions.
4. Quest packages and subscriptions
Quest package fees, billing cycles, and deliverables are defined in the applicable Order Form. Unless otherwise stated, quarterly programmes renew unless cancelled with thirty (30) days written notice before the next billing period.
5. Professional services
Services engagements are governed by the Order Form and these Terms. Statements of work describe deliverables, timelines, milestone checkpoints, and acceptance criteria. Client will provide timely access to systems, data, and personnel reasonably required. Change requests may adjust fees and schedules.
6. Client data and PDPA
Client retains ownership of data submitted for projects. AIQuest processes Client Data only to provide services and as described in our Privacy Policy. Each party will comply with the PDPA and applicable data protection laws. Where AIQuest acts as a data intermediary, additional data processing terms in the Order Form apply.
7. Acceptable use
Client must not use the Collection or deliverables to:
- Violate law or third-party rights;
- Process unlawful, infringing, or highly sensitive personal data without appropriate legal basis and safeguards;
- Reverse engineer the Collection except where permitted by law;
- Overload or disrupt infrastructure through abusive automated requests.
We may suspend access for material breaches after notice where practicable.
8. Intellectual property
AIQuest retains all rights in the Collection, methodologies, documentation, trademarks, and pre-existing materials. Client receives a non-exclusive, non-transferable licence during the engagement term for internal business use. Deliverables created specifically for Client under a Services Order Form are licensed to Client upon full payment, excluding AIQuest background IP and generic tools.
9. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only for the permitted purpose. Exclusions apply to information that is public, independently developed, or rightfully received from third parties without restriction.
10. Pricing and currency
Catalog prices are indicative estimates in Singapore dollars (SGD) excluding applicable goods and services tax (GST) unless stated otherwise. Final pricing appears only in formal quotes or signed Order Forms.
11. Payments
Unless agreed otherwise, invoices are payable in SGD by electronic funds transfer or corporate card within net-thirty (30) days of invoice date. Late payments may incur interest at 1% per month or the maximum permitted by Singapore law, whichever is lower.
12. Warranties and disclaimers
AIQuest warrants that services will be performed with reasonable skill and care. Except as stated, the website and general marketing materials are provided “as is.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by Singapore law. AI outcomes depend on data quality, integration context, and operational factors.
13. Limitation of liability
To the maximum extent permitted by Singapore law, neither party is liable for indirect, incidental, special, or consequential damages. AIQuest’s aggregate liability arising from these Terms shall not exceed the fees paid by Client in the twelve (12) months preceding the claim, except for liability that cannot be limited under law.
14. Indemnity
Client will indemnify AIQuest against third-party claims arising from Client Data or Client’s unlawful use of deliverables. AIQuest will indemnify Client against claims that the Collection infringes Singapore intellectual property rights, subject to exclusions for combinations with non-AIQuest components or unauthorised modifications.
15. Force majeure
Neither party is liable for delay or failure due to events beyond reasonable control, including natural disasters, government actions, widespread outages, or labour disputes, provided prompt notice is given.
16. Term and termination
Either party may terminate for material breach not cured within thirty (30) days of written notice. Upon termination, Client must cease use of licensed Collection modules; AIQuest will make Client Data available for export for thirty (30) days where technically feasible, then delete per retention policies unless law requires retention.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore. Parties submit to the exclusive jurisdiction of the Singapore courts. Before litigation, parties will attempt good-faith negotiation for thirty (30) days.
18. General
These Terms, together with applicable Order Forms and the Privacy Policy, constitute the entire agreement. If any provision is unenforceable, the remainder stays in effect. AIQuest may assign these Terms in connection with a merger or sale of assets; Client may not assign without consent.
